AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and VIVID INVESTS LLC, doing business as MFA Underwriting ("Company," "we," "us," or "our"), concerning your access to and use of our software products and services.

We operate the website http://www.mfaunderwriting.com (the "Site") and provide commercial real estate underwriting software products (the "Software" or "Products"), including but not limited to MFA-ADVANCED, MFA-LITE, MFA-FREE, and MFA-TOOLS (collectively, the "Services").

BY PURCHASING, DOWNLOADING, OR USING OUR SOFTWARE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE, DOWNLOAD, OR USE OUR SOFTWARE.

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the "Last Updated" date. Your continued use of the Software after changes are posted constitutes acceptance of the modified Terms.

All users who are minors in their jurisdiction (generally under the age of 18) must have permission from and be directly supervised by a parent or guardian to use the Services.

1. SOFTWARE PRODUCTS AND LICENSING

1.1 Product Offerings

We offer the following software products:

  • MFA-ADVANCED: Annual subscription-based Excel underwriting software with unlimited downloads during the active subscription period

  • MFA-LITE: One-time purchase Excel underwriting software

  • MFA-FREE: Free downloadable Excel underwriting software (no purchase required)

  • MFA-TOOLS: Additional Excel-based tools available for download

1.2 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and use the Software for your internal business purposes only

  • Install the Software on devices you own or control

  • Create financial models and analyses using the Software

1.3 License Restrictions

  • Download and use the Software for your internal business purposes only

All licenses are single-user only. You may NOT:

  • Share, distribute, sublicense, rent, lease, or lend the Software to any third party

  • Share license keys, passwords, or account credentials with others

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software

  • Modify, adapt, translate, or create derivative works based on the Software

  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices

  • Use the Software to develop competing products or services

  • Resell or commercially exploit the Software in any manner

1.4 Subscription Terms (MFA-ADVANCED)

  • MFA-ADVANCED subscriptions are annual and grant unlimited downloads during the active subscription period

  • Access to download new versions terminates upon subscription expiration or cancellation

  • Previously downloaded files remain functional after subscription expiration, but you will not receive updates or support

  • We reserve the right to change subscription pricing with 30 days notice to active subscribers

1.5 One-Time Purchase Terms (MFA-LITE, MFA-TOOLS)

  • One-time purchases grant you a perpetual license to use the version purchased

  • Updates and improvements are included at our discretion during the support period

  • Email support is available for the life of the product for issues related to product functionality

2. SYSTEM REQUIREMENTS

The Software requires:

  • Microsoft Excel 2020 or later (desktop version)

  • Compatible with both Windows and Mac operating systems

  • NOT compatible with Excel for Web, Google Sheets, or Excel versions prior to 2020

You are responsible for ensuring your system meets these requirements. No refunds will be issued for incompatible systems after download.

3. PAYMENT AND NO REFUND POLICY

3.1 Payment

Payment is required before accessing paid Software. All prices are displayed on our website and may be changed at any time. Price changes for existing subscriptions will be communicated with 30 days notice.

3.2 No Refund Policy

ALL SALES ARE FINAL. We do not offer refunds for any purchases or subscriptions. We provide MFA-FREE as a free product that allows you to test the functionality and compatibility before purchasing paid versions. By purchasing paid Software, you acknowledge that you have tested MFA-FREE and accept this no-refund policy.

4. UPDATES AND SUPPORT

4.1 Software Updates

  • MFA-ADVANCED: Updates are included during active subscription period

  • MFA-LITE and MFA-TOOLS: Updates are included at our discretion

We are not obligated to provide updates but may do so at our discretion. Updates may include bug fixes, feature enhancements, or compatibility improvements.

4.2 Customer Support

We provide email support at [email protected]. We strive to respond to support requests within 48 business hours. Support is provided during your active subscription period (MFA-ADVANCED) or for the lifetime of the product (MFA-LITE, MFA-TOOLS).

Support covers technical issues with Software functionality. We do not provide consulting services, underwriting advice, or instruction on real estate investment strategies through our support channel.

5. THIRD-PARTY INTEGRATIONS

Our Software may include optional integrations with third-party services, including QuickData.ai. These integrations are optional and require separate accounts and agreements with the third-party providers.

We are not responsible for the availability, performance, or terms of service of any third-party integrations. Your use of third-party services is governed by their respective terms and privacy policies.

We do not guarantee continued compatibility with third-party services and may discontinue integrations at any time.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

We own all intellectual property rights in the Software, including all source code, formulas, algorithms, templates, designs, documentation, and related materials. Our Software is protected by copyright, trademark, and other intellectual property laws.

The MFA Underwriting name, logo, and all related marks are trademarks of VIVID INVESTS LLC. You may not use our trademarks without our prior written permission.

6.2 Your Data and Models

You retain all ownership rights to the financial data, property information, and analysis results that you input into or generate using the Software ("Your Data"). We do not claim any ownership of Your Data.

We do not collect, store, or have access to Your Data. All data you enter into the Software remains on your local device.

6.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Software, we may use that feedback to improve our products without any obligation to compensate you or provide attribution.

7. PROFESSIONAL DISCLAIMER

THE SOFTWARE IS A TOOL FOR FINANCIAL ANALYSIS AND IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. We are not providing investment advice, financial advice, legal advice, tax advice, or any other professional services through the Software.

You are solely responsible for:

  • The accuracy of data you input into the Software

  • The assumptions and methodologies you use in your analysis

  • Any investment decisions you make based on Software outputs

  • Consulting with qualified professionals (attorneys, accountants, financial advisors) before making investment decisions

The Software provides calculations based on inputs you provide. We make no representations or warranties about the accuracy, reliability, or suitability of the Software for any particular investment decision.

REAL ESTATE INVESTMENTS INVOLVE SUBSTANTIAL RISK. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS. YOU MAY LOSE MONEY.

8. PROHIBITED ACTIVITIES

You may not:

  • Use the Software for any illegal purpose or in violation of any laws

  • Circumvent any security features or license enforcement mechanisms

  • Use automated systems to access, download, or use the Software

  • Interfere with or disrupt our servers or networks

  • Attempt to gain unauthorized access to our systems

  • Violate any intellectual property rights

9. DISCLAIMERS AND WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Software will be error-free or uninterrupted

  • The Software will meet your specific requirements

  • Calculations or outputs will be accurate or reliable

  • Defects will be corrected

  • The Software is compatible with all systems or versions of Excel

You assume all risk associated with using the Software. We are not liable for any financial losses, missed opportunities, or damages resulting from use of the Software.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIVID INVESTS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Software

  • Any unauthorized access to or use of our servers

  • Any errors or omissions in any content

  • Any financial decisions made based on Software outputs

  • Any other matter relating to the Software

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless VIVID INVESTS LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any financial decisions or investments you make based on Software outputs.

12. PRIVACY AND DATA COLLECTION

We collect only the information necessary to process your purchase and provide support:

  • Purchase information (name, email, payment details)

  • Support correspondence

We do NOT collect, store, or have access to:

  • Your financial models or analysis data

  • Property information you enter into the Software

  • Any data created using the Software

All data you enter into the Software is stored locally on your device. We do not have access to this data and do not use it for any purpose.

13. TERM AND TERMINATION

These Terms remain in effect until terminated by either party.

We may terminate or suspend your access to the Software immediately, without prior notice, if you:

  • Breach these Terms

  • Engage in prohibited activities

  • Fail to pay applicable fees

Upon termination, you must cease all use of the Software and delete all copies in your possession. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights.

15. SMS TEXT MESSAGING

By opting into our SMS messaging program, you consent to receive text messages related to your account, including purchase confirmations and account alerts.

To opt out, reply "STOP" to any text message. For help, reply "HELP" or email [email protected].

Message and data rates may apply as determined by your carrier. We are not responsible for delayed or undelivered messages.

16. MISCELLANEOUS

Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Software and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: We may assign our rights and obligations under these Terms. You may not assign your rights without our prior written consent.

No Agency: No agency, partnership, joint venture, or employment relationship is created between you and us as a result of these Terms.

Electronic Communications: You consent to receive electronic communications from us, and you agree that all agreements, notices, and disclosures that we provide electronically satisfy any legal requirement that such communications be in writing.
